9. Council Authority

 9.1

The Council shall have the authority to transact all of the business of the Society in accordance with the objectives of the Society, unless such business is specifically restricted by the Constitution of the Society to the Annual General Meeting or Extraordinary General Meeting.

 9.2

The Council, acting through the Treasurer, shall have the authority to disperse, invest, or otherwise dispose of the funds, securities, properties or other assets of the Society for the sole purpose of furthering the declared objectives of the Society. No portion of the funds, securities, properties, or other assets of the Society shall be paid, delivered or transferred, either directly or indirectly, by way of dividends, gifts, bonuses or pecuniary profit to any member of the Society. Providing that nothing herein contained shall prevent the awarding of scholarships, prizes or presentations at the discretion of the Council, or the payment in good faith of reasonable and proper remuneration to any member or servant of the Society in reimbursement of work done, or expenses properly incurred on behalf of the Society.

 9.3

The Council shall have the authority to convene Ordinary and Extraordinary General Meetings of the Society on dates determined by the Council.

 9.4

The Council shall have the authority to arrange scientific, technical or other papers to be read or published to the members, and to arrange for study tours, visits or other such events as may properly fulfil the objectives of the Society.

 9.5

The Council shall have authority to arrange such social events as may fulfil the objectives of the Society.

 9.6

The Council may appoint committees or sub-committees for the purpose of transacting any particular business, or of investigating any specific subject connected with the objectives of the Society. Such committees or sub- committees shall make their report to the Council, who may act thereon or make use thereof as the Council decides.

 9.7

The Council shall have the authority to forward invitations to any person whose presence, at an ordinary meeting, the Council may think advisable, and visitors so invited shall be permitted to take part in the proceedings, but shall not vote.

 9.8

Any member whose subscription is more than nine months in arrears, or is in any way in debt to the Society, shall be reported to the Council, who shall direct that the matter should be brought to the notice of the member. In the event of default continuing for one month after such notice, the Council shall have the power to declare that the defaulter has ceased to be a member of the Society.

 9.9

The Council of the Society shall, by at least two-thirds majority, have the power to expel from the Society any member who, in the opinion of Council, has been guilty of improper conduct, or who, in the opinion of Council, has been guilty of any act prejudicial to the interests or objectives of the Society or any of its members, provided that the said member shall have been given adequate opportunity to appear before the Council to meet any charge made against the member. The said member shall have the right of appeal to an Extraordinary General Meeting.

 9.10

The Council shall have the power to co-opt a member or members to fill vacancies arising in the Council between yearly elections. These may be in addition to the co-opted persons mentioned in Paragraph 5.4. In the case where the list of candidates for election at an Annual General Meeting did not include a representative of the criteria mentioned in Clause 5.3, Council shall co-opt as a member of Council any Fellow or (Ordinary) Member of the Society who may be identified with such sections. Any co-opted member of Council shall have the same rights, privileges and duties as an elected Councillor.

 9.11

The Council shall make such regulations and prepare such prescribed forms as are required by the rules, or are needed for the proper functions, of the Society.
